Default ESX 3.5 inside vmware workstation 6 issue

I was able to get the ESX software loaded and installed inside the workstation 6. But when it reboots after installation it gets stuck at "VMkernel loaded successfully" Any ideas why?

I'm running the vmware workstation on a compaq proliant ML350 G3 with intel xeon and 3.5gigs of RAM

What version of VMware workstation are you running ? ESX 3.5 is only supported as of version 6.5 onwards (and vSphere requires 7.x).
